Terms Of Service

1. ACCEPTANCE OF TERMS

By accessing and using the services provided by E-Kingdom Virtual Services d.b.a Virtual Workflows/virtualworkflows.com ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. SERVICES DESCRIPTION

2.1 Service Offerings

We provide business automation consulting and implementation services, including but not limited to:

  • Roadmap consultations for automation opportunities

  • Virtual Assistant automation system implementation

  • Project Manager automation system implementation

  • Bundle packages combining multiple automation solutions

  • Training and support for implemented systems

2.2 Consultation Services

  • Initial roadmap consultations are offered to assess automation opportunities

  • Consultations include ROI analysis and custom implementation recommendations

  • Consultation findings and recommendations remain our intellectual property until a service agreement is executed

2.3 Implementation Services

  • Custom automation workflow development using platforms including Make.com, N8N.io, and other third-party tools

  • Integration with existing client software and platforms

  • Testing, deployment, and initial optimization of automation systems

  • Training and documentation delivery

  • Limited post-implementation support as specified in individual service agreements

3. CLIENT RESPONSIBILITIES

3.1 Information Accuracy

You agree to provide accurate, complete, and current information regarding your business, existing systems, and automation requirements.

3.2 System Access

You will provide necessary access credentials, API keys, and permissions required for integration and implementation of automation systems.

3.3 Cooperation

You will participate in scheduled meetings, provide timely feedback, and cooperate in the implementation process as reasonably required.

3.4 Third-Party Compliance

You are responsible for ensuring compliance with all terms of service of third-party platforms integrated into your automation systems.

4. PAYMENT TERMS

4.1 Fees and Payment

  • Service fees are as quoted in individual proposals or service agreements

  • Payment terms and schedules are specified in individual service agreements

  • Late payments may incur additional fees as specified in service agreements

4.2 Recurring Costs

  • Third-party platform subscription costs are the responsibility of the Client

  • Monthly tool costs are separate from our implementation fees

  • Changes in third-party pricing are not our responsibility

4.3 Refunds

  • Refund policies are specified in individual service agreements

  • Work completed prior to cancellation is non-refundable

  • Third-party subscription costs are non-refundable

5. INTELLECTUAL PROPERTY

5.1 Client Data and Systems

  • You retain ownership of your business data and existing systems

  • We will not use your confidential business information for any purpose other than providing agreed services

5.2 Automation Workflows

  • Custom automation workflows developed specifically for your business become your property upon full payment

  • We retain the right to use general methodologies, techniques, and non-confidential knowledge gained

5.3 Templates and Documentation

  • We retain ownership of our templates, methodologies, and general documentation

  • Client-specific documentation and training materials become your property upon full payment

6. CONFIDENTIALITY

6.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the course of our business relationship.

6.2 Data Security

We implement reasonable security measures to protect client data during the implementation process, but cannot guarantee absolute security.

6.3 Third-Party Tools

Data processed through third-party automation platforms is subject to those platforms' privacy policies and security measures.

7. WARRANTIES AND DISCLAIMERS

7.1 Limited Warranty

We warrant that services will be performed in a professional manner consistent with industry standards.

7.2 No Guarantee of Results

While we strive to deliver systems that meet projected ROI and efficiency goals, we cannot guarantee specific business results or outcomes.

7.3 Third-Party Dependencies

We are not responsible for changes, outages, or issues with third-party platforms that may affect implemented automation systems.

7.4 DISCLAIMER

EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

8. LIMITATION OF LIABILITY

8.1 Liability Cap

Our total liability for any claims arising from our services shall not exceed the total fees paid by Client for the specific services giving rise to the claim.

8.2 Consequential Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

8.3 Third-Party Failures

We are not liable for any damages caused by third-party platform failures, changes, or discontinuation of services.

9. TERMINATION

9.1 Termination by Either Party

Either party may terminate services with written notice as specified in individual service agreements.

9.2 Effect of Termination

Upon termination, Client remains responsible for all fees for services provided up to the termination date.

9.3 Survival

Provisions regarding payment, intellectual property, confidentiality, and limitation of liability survive termination.

10. GENERAL PROVISIONS

10.1 Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law provisions.

10.2 Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in [Your Location].
